8. Service Level Agreement

For Professional and Enterprise plans, service level commitments are defined in the applicable Service Level Agreement. We strive to maintain 99.9% uptime for our cloud services.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or secure. AI-generated outputs may contain errors and should be reviewed by qualified personnel before implementation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOMPSONMTECH SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ThompsonMTech Solutions and our officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to our services at any time for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive.

These Terms shall be governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in South Carolina, except that either party may seek injunctive relief in any court of competent jurisdiction.
